Legal
Terms of Use
Effective 5 November 2026 · Last updated 6 November 2026
1. About these Terms
1.1 These Terms of Use (the Terms) are a legal agreement between you and Alcodes Mobility Private Limited (Alcodes, we, us or our). Alcodes is a company incorporated in India. Auditer is our product and brand.
1.2 These Terms apply to the Service, which means:
- the Auditer website at https://auditer.com;
- the web portal at https://app.auditer.com;
- the Auditer mobile apps for Android (Google Play) and iOS (App Store);
- the Auditer Agent, our desktop app for Windows; and
- related features, updates and support.
1.3 You means the person using the Service. If you use the Service for a business, “you” also includes that business.
1.4 The following documents form part of these Terms:
- our Privacy Policy;
- our Acceptable Use Policy;
- our Refund, Cancellation and Service Delivery Policy;
- our Data Processing Addendum; and
- the rates shown on our pricing page.
1.5 These Terms are published in English. If a translation differs from the English version, the English version governs.
2. Acceptance and eligibility
2.1 You accept these Terms when you create an account, install the Auditer Agent or use any part of the Service. If you do not agree, do not use the Service.
2.2 You must be at least 18 years old and legally able to enter into a contract under Indian law.
2.3 The Service is meant for business use. You may use it for your own business, for a business you work for, or for clients you serve as a professional (for example, as an accountant).
2.4 If you accept these Terms for a business, you confirm that you are authorised to bind that business. In that case, the business is responsible for your use of the Service.
3. Your account
3.1 You sign in with your mobile number and a one-time code that we send by WhatsApp, or by SMS where we offer it. You may add an email address. On the mobile apps, you can also set an app PIN and use your device’s biometric unlock.
3.2 Give us accurate details and keep them up to date. Your mobile number is the main way we identify you and contact you.
3.3 Each account is for one person. Do not share your one-time codes, PIN or account with anyone. To give someone else access, invite them as a member (see section 4).
3.4 You are responsible for activity under your account. If you think someone else has used your account, write to [email protected] straight away.
3.5 We send service messages, such as sign-in codes, alerts, billing notices and notices about these Terms, by WhatsApp, SMS, email, push notification or in the app.
3.6 You can delete your account at any time in the app (Profile > Delete account). Section 13 explains what happens to your data.
4. Workspaces, Owners and members
4.1 Each account gets a personal workspace. A workspace holds the Tally companies, data, members and credits that belong together.
4.2 Every workspace has exactly one Owner. The Owner controls billing, members, roles and data access for the workspace. Where a workspace is used for a business, the Owner acts for that business.
4.3 The Owner can invite members by mobile number. The Owner gives each member a role and data limits, such as the companies, financial years, ledgers, godowns and cost centres the member can see.
4.4 The Owner is responsible for:
- choosing whom to invite and what access to give;
- removing access when a member should no longer have it; and
- making sure members follow these Terms.
4.5 Members use the Service within the limits the Owner sets. The Owner can change or remove a member’s access at any time.
4.6 Auditer keeps an audit trail of entries made in Auditer. This trail does not replace any audit trail or edit log that the law requires you to keep in your accounting software.
4.7 Creating an extra workspace, and transferring ownership of a personal workspace, use credits as shown on the pricing page. The Owner can reset or close a workspace.
5. The Auditer Agent and TallyPrime
5.1 Auditer works with TallyPrime, accounting software made by Tally Solutions Pvt. Ltd. Auditer is independent. It is not affiliated with or endorsed by Tally Solutions.
5.2 You need a valid TallyPrime licence, and you must follow the terms of that licence. We do not sell, license or support TallyPrime.
5.3 You install the Auditer Agent on the Windows PC that runs TallyPrime and choose which Tally companies to connect. For those companies, the Agent syncs data to our cloud, including the company profile, ledgers and parties with their contact details, vouchers, stock items, godowns and GST details.
5.4 When you or a member create an entry in Auditer, such as an invoice, order, receipt, payment, journal or master, the Agent writes it into TallyPrime.
5.5 Sync and write-back work only when the PC is switched on and connected to the internet, and the Agent can reach TallyPrime. Data in Auditer shows the position as at the last successful sync. An entry created in Auditer becomes part of your books only after it has been written into TallyPrime. Check that your entries have posted as you expect.
5.6 Your Tally company file stays on your PC and remains your books of record. Auditer keeps a synced copy to provide the Service. That copy is not a backup of your Tally data, so keep your own backups.
5.7 You are responsible for the PC, Windows, TallyPrime and your internet connection, and for keeping them secure and up to date.
5.8 We grant you a limited, non-exclusive, non-transferable licence to install and use the Auditer Agent and the mobile apps for your business while you use the Service. We may release updates, and some features may need the latest version.
6. GST portal, e-invoice and e-way bill features
6.1 Auditer’s GST tools let you:
- prepare GSTR-1 and GSTR-3B from your books and compare them with the GST portal;
- save or file returns on the GST portal, only if you choose to;
- match GSTR-2B, record IMS decisions, read your electronic cash ledger, view notices and check GSTINs; and
- generate e-invoices (IRN) and e-way bills.
6.2 We connect to the GST portal, the e-invoice system (IRP) and the e-way bill system through a GST Suvidha Provider (GSP). Our current GSP is listed on our sub-processors page.
6.3 To use these features, you connect your own GST portal, e-invoice and e-way bill API credentials and authorise access (for the GST portal, by OTP). You authorise us and our GSP to access these systems on your behalf, only for the actions that you or your members request. We store these credentials encrypted (AES-256-GCM).
6.4 Connect only GSTINs that you own or are authorised to act for.
6.5 You remain responsible for the correctness and timeliness of your returns, invoices, e-way bills, IMS decisions and replies to notices. Check the figures before you save, file or generate anything. Any tax, interest, late fee or penalty that applies to your business is your responsibility.
6.6 The GST portal, the IRP, the e-way bill system and the GSP are run by others. Their downtime, slowness, rule changes, errors or rejections are outside our control.
6.7 Auditer provides software. It does not provide tax, legal or accounting advice. For advice on your situation, consult a qualified professional.
7. Credits, fees and payment
7.1 Auditer is paid for with prepaid, usage-based credits. ₹1 buys 1 credit, plus GST at the applicable rate (currently 18%).
7.2 New accounts receive 10 free credits, valid for 5 years. Purchased credits are valid for 24 months from the date of purchase.
7.3 Credits can be bought only in the web portal (Settings > Billing & Credits). Payments are processed by Razorpay. We issue a GST tax invoice for each purchase.
7.4 Credits are used for chargeable actions. These include additional team member seats, entries posted to TallyPrime, documents shared as PDF, e-invoices, e-way bills, WhatsApp, email and SMS messages, turning on e-invoice, e-way bill or GST returns for a company, extra workspaces and ownership transfers. The pricing page lists each chargeable action and its current rate.
7.5 Viewing data, syncing, reports, dashboards, AI insights, the Help Center, and push and in-app notifications are free.
7.6 Team member seats work as follows:
- The Owner’s seat is free. Each additional seat costs 100 credits per month.
- Seats renew every 30 days. A seat added during a cycle is charged for the days left in that cycle.
- If a renewal cannot be paid, there is a 7-day grace period. After that, members on unpaid seats are paused.
7.7 If a workspace runs out of credits, chargeable actions stop until the Owner buys more. Viewing continues.
7.8 If the government portal refuses an e-invoice or e-way bill, the credits charged for it are returned automatically.
7.9 We may change prices or the actions that use credits. We will give notice on the pricing page before a change applies. Changes do not affect credits already used.
7.10 Credits have no cash value and are non-refundable, except as set out in our Refund, Cancellation and Service Delivery Policy. Expired credits are not refunded.
8. Acceptable use
8.1 You must follow our Acceptable Use Policy. In short: use Auditer lawfully, access only data you are authorised to see, message only your own parties with a lawful basis, and do not attack, copy or misuse the Service.
8.2 You set the rules for payment reminders sent to your customers by WhatsApp, email or SMS. You are responsible for whom you message, what the messages say and having a lawful basis to send them.
9. Your data
9.1 Customer Data means the data that you or your members sync, enter or upload to Auditer. It includes data from your Tally companies and data about your customers and suppliers (your parties).
9.2 You own your Customer Data. We do not claim any ownership of it.
9.3 You give us a non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data, only as needed to provide, secure and support the Service for you, and as required by law. This licence ends when the data is deleted under section 13.
9.4 For personal data within Customer Data, you are the Data Fiduciary and we act as your Data Processor under the Digital Personal Data Protection Act, 2023. Our Data Processing Addendum applies to that processing.
9.5 You confirm that you have the right to give us Customer Data and to have it processed as described in these Terms. This includes giving any notices and obtaining any consents that the law requires.
9.6 Our Privacy Policy explains how we handle your own account data, for which we are the Data Fiduciary.
9.7 We store Customer Data on Amazon Web Services in the Mumbai region (India) and protect it with reasonable security safeguards. Our security page describes them.
10. AI features
10.1 Auditer includes AI insights and an AI help assistant, Ask Auditer. Both produce text automatically.
10.2 AI outputs may be incomplete, out of date or wrong. Review them before you rely on them. They are not professional advice.
10.3 To produce an answer, we send your question and the summarised figures or help-article text needed for the answer to our AI provider, Groq, Inc., in the USA. Our Privacy Policy explains this transfer.
11. Availability and support
11.1 We make reasonable efforts to keep the Service available. We do not guarantee any level of uptime.
11.2 We may pause the Service for planned or urgent maintenance. Where we can, we will give advance notice of planned maintenance.
11.3 The Service depends on things we do not control, including your PC, TallyPrime, internet connections, messaging platforms, the GSP and government portals. Messages to your parties may be delayed or may not be delivered.
11.4 We may change, add or remove features. If a change significantly reduces the Service, we will give reasonable notice where we can.
11.5 For support, write to [email protected].
12. Suspension and termination
12.1 You may stop using the Service at any time. You can delete your account in the app, and the Owner can close a workspace.
12.2 We may suspend or end your access, in whole or in part, if:
- you breach these Terms or the Acceptable Use Policy;
- your use creates a security risk or may harm the Service, other users or third parties;
- a payment is fraudulent or is reversed; or
- the law, a court or a government authority requires it.
12.3 Where reasonable, we will tell you before we act and give you a chance to fix the problem. We may act without notice in urgent cases, such as a security threat or a legal requirement.
12.4 We may stop offering the Service as a whole. If we do, we will give reasonable advance notice so that you have time to download what you need.
12.5 When access ends, your right to use the Service ends. Sections that by their nature should continue, such as those on data, intellectual property, disclaimers, limitation of liability, indemnity and governing law, continue to apply.
13. Your data when you leave
13.1 Before you close a workspace or delete your account, download the reports and PDFs you need. Your master copy of the books stays in your own TallyPrime.
13.2 After an account is deleted or a workspace is closed, we delete the related data from our active systems within a reasonable period. Copies in encrypted backups are removed as those backups are replaced in our normal backup cycle.
13.3 We may keep some records for longer where the law requires it, such as tax invoices and payment records, or where we need them to resolve a dispute or enforce these Terms.
13.4 Unused credits are not paid out in cash when a workspace is closed or an account is deleted.
14. Intellectual property
14.1 The Service belongs to Alcodes or its licensors. This includes the software, the Auditer Agent, the apps, the website, designs, text, and the Auditer name and wordmark. These Terms do not transfer any of these rights to you.
14.2 You may not copy, modify, sell, rent or sublicense the Service, or use our trademarks, except as these Terms allow or with our written permission. See Trademarks and Disclaimer.
15. Feedback
If you send us ideas or suggestions about the Service, we may use them freely without any obligation to you. This does not give us any rights in your Customer Data.
16. Third-party services
16.1 The Service works with services run by others, such as TallyPrime, WhatsApp, Razorpay, the app stores, the GSP and government portals. Their own terms and policies apply to your use of them.
16.2 We are not responsible for how third-party services work or for changes to them that affect the Service. This does not limit our responsibility for our sub-processors under the Data Processing Addendum.
17. Disclaimers
17.1 We provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided “as is” and “as available”.
17.2 We do not promise that the Service will be uninterrupted or error-free, or that it will meet every need. Figures in Auditer depend on the data in your TallyPrime and on the last successful sync.
17.3 Nothing in the Service is tax, legal, financial or accounting advice.
18. Limitation of liability
18.1 We are not liable for any indirect, incidental, special or consequential loss. We are also not liable for loss of profit, revenue, business, goodwill or anticipated savings, however it arises.
18.2 We are not liable for tax, interest, late fees or penalties charged to your business, or for losses caused by government portals, TallyPrime, your own systems or your internet connection.
18.3 Our total liability for all claims relating to the Service or these Terms is limited to the total fees you paid us in the 12 months before the claim arose.
18.4 Nothing in these Terms limits liability for fraud, or any liability that cannot be limited under applicable law.
19. Indemnity
19.1 You will indemnify Alcodes against claims by third parties, and the resulting losses, damages and costs (including reasonable legal fees), arising from:
- your Customer Data, or your lack of a right to share it with us;
- messages you send or set up through Auditer;
- returns you save or file, and e-invoices and e-way bills you generate;
- your breach of these Terms or the Acceptable Use Policy; or
- your breach of any law.
19.2 We will tell you promptly about any such claim and allow you to take part in the defence at your own cost.
20. Changes to these Terms
20.1 We may update these Terms from time to time. The date at the top of this page shows when they were last updated.
20.2 For material changes, we will notify you by email, in the app or on the website before the changes take effect.
20.3 If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and delete your account.
21. General
21.1 Events beyond control. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, or the failure of government portals.
21.2 Transfer. You may not transfer your rights under these Terms without our written consent. We may transfer our rights and obligations to a successor to our business, such as in a merger or sale, and will tell you if we do.
21.3 Notices. We may send notices to your registered mobile number by WhatsApp or SMS, by email, or in the app. You may send notices to [email protected] or to our registered office.
21.4 Whole agreement. These Terms, with the documents listed in section 1.4, are the whole agreement between you and us about the Service.
21.5 Severability and waiver. If a court finds any part of these Terms unenforceable, the rest continues to apply. If we do not enforce a right straight away, we have not given it up.
22. Governing law and courts
22.1 These Terms are governed by the laws of India.
22.2 The courts at Jaipur, Rajasthan have exclusive jurisdiction over any dispute arising from these Terms or the Service.
22.3 This does not limit any right you have under law to approach a consumer commission under the Consumer Protection Act, 2019 or the Data Protection Board of India.
23. Contact and grievances
23.1 For questions about these Terms or the Service, write to [email protected], or call or message WhatsApp on +91 90244 66791.
23.2 For complaints, write to our Grievance Officer, Yash Kumar, at [email protected] or +91 90244 66791. Our Grievance Redressal page explains what to include and how quickly we respond.
